Terms and Conditions

These terms apply to Promitto Group AS unless otherwise agreed in writing.

Proposal

Unless otherwise specified in the proposal, it is valid for 20 days from the proposaldate, unless withdrawn in writing.

Proposal attachments

Attachments to the proposal are the property of Promitto Group AS and must not be shared or made available to unauthorized persons.

Purchase

All purchases must be made in writing. Promitto Group AS cannot be held responsible for costs related to incorrect deliveries if a written order has not been received.

Delivery terms

Delivery takes place in accordance to the proposal, order, order confirmation, and these terms. The delivery time applies from the day the seller has registered the order. The delivery time shall be considered extended by a period corresponding to the delay if:

  • The buyer has failed to provide the required security.
  • The buyer has not provided the necessary technical information for the delivery in time.
  • The buyer or their customer requests changes to the delivery that may cause delays.
  • Circumstances such as strikes, seizures, currency restrictions, uprisings, lack of transportation, general shortages, rejection of workpieces, labor shortages, power supply restrictions, or delays from subcontractors due to circumstances mentioned in this section or other Force Majeure events.

Promitto Group AS shall notify the buyer of delays and their duration as soon as possible. Promitto Group AS is not responsible for financial losses or consequential penalties caused by delayed delivery.
All deliveries are EXW Incoterms unless otherwise agreed in writing.

Acceptance

For product deliveries, all goods are considered received when the customer has signed for the delivery. Any defects must be noted on the delivery note upon receipt if claims are to be made. For project deliveries, the project is considered complete by Promitto Group AS upon issuance of the final invoice. Significant defects allow the customer to refuse acceptance until rectified. Minor defects allow the customer to withhold a proportionate part of the purchase price until corrected. If the customer has not reported defects in writing within 10 business days after the final invoice, the delivery is considered accepted and approved.

Images of Delivered Projects

Unless otherwise agreed, images/videos of completed projects may be used on Promitto Group AS’s website and social platforms. Specific addresses will not be disclosed, and the main purpose is to showcase products for inspiration. Security solutions for critical installations will not be published without written consent from the customer.

Prices

All prices are exclusive of VAT. Promitto Group AS reserves the right to adjust prices due to changes in exchange rates or applicable rates for transport, customs, and taxes between the order and delivery dates.

Pricing

Prices do not include:

  • Additional costs due to customer-requested changes after the agreement is made.
  • Costs due to incomplete or insufficient base material.
  • Costs due to delays or issues caused by the buyer or their customer/supplier.
  • Overtime or other measures requested by the customer to achieve faster delivery than agreed.

Invoicing

Invoicing generally occurs upon shipment. However, Promitto Group AS reserves the right to pre-invoice up to 30% of the contract sum upon proposal acceptance for orders exceeding NOK 50,000 unless otherwise agreed. If the buyer wishes to postpone delivery, Promitto Group AS may invoice according to the original delivery schedule. Partial deliveries are invoiced separately.

Payment Terms

For credit sales, the payment term is net 14 days unless otherwise agreed. Promitto Group AS retains ownership of delivered goods until the full purchase price, including interest and costs, is paid.

Complaints

The customer is obligated to examine delivered goods promptly. In the event of defects, the customer must immediately notify Promitto Group AS, which will request a detailed description.

Product Defects

Claims regarding product defects must be made within 10 days of receipt. Promitto Group AS reserves the right to repair or replace defective goods.

Returns

Product returns require prior agreement with Promitto Group AS. Approved returns are credited at 80% of the invoiced amount. Return shipping costs must be covered by the customer.

Product Liability

Promitto Group AS is not liable for damage to real estate, movable property, or any form of indirect loss (such as operational losses or lost profits) caused by defects in delivered equipment.

Warranty

Products supplied by Promitto Group AS come with a warranty specified in the product documentation (Data Sheet), covering material and manufacturing defects. Promitto Group AS reserves the right to repair or replace defective products. The warranty does not apply if the product has been altered or tampered with, or if damage has resulted from improper or unskilled use.

Force Majeure

If delivery is prevented due to labor disputes, war, fire, illegal actions, raw material shortages, government measures, or other circumstances beyond Promitto Group AS’s control, the company is not obligated to meet the agreed delivery time or compensate for delayed or failed delivery.
